I regularly work with clients to develop internal policies and procedures, including for human resources, employee manuals, and corporate governance.

I represent a wide range of businesses, industries, and technologies, including general contractors, architects, engineers, real estate developers, financial institutions, manufacturers, start-up ventures, commodity distributors, C-suite executives, law firms, and individuals in their business and employment matters.

My experience as the general counsel of an international manufacturing company, including through an initial public offering on NYSE, provides a unique perspective on issues that impact businesses in the middle market. With the rapid turnover of technology, I work with businesses to protect intellectual property rights, data privacy, human resources and personnel, and the management of internal and independent sales teams.

• Represents general contractors, architects, and other design professionals in their business strategies, growth, and contract management.

• Represented purchaser of a business in litigation against seller for breaches of the Asset Purchase Agreement where seller misrepresented the condition of the assets and failed to provide IP and access to social media accounts.

• Represented investor in limited liability company where managing member absconded with investor’s distribution.

• Represented seller of a business to a national competitor as part of a succession plan and seller’s estate planning.

• Represented international manufacturer and supplier of products to the auto industry in contract and employment matters.

• Represented employee in claim for wrongful termination and age discrimination in her claims against national bank; settled at final pretrial.

• Represented homeowner association for condominiums in downtown location against developer for failure to perform certain renovation, rehabilitation and construction activities in the conversion of the building from mixed-use retail to residences.

• Served as outside general counsel for regional brand consultancy agency that also provides marketing, public relations, event planning and other design services in its contract, governance, employment, human resources, corporate governance, and risk management.
